These Terms and Conditions (“Terms”) govern your access to and use of the Pundown website, application, and related services (collectively, the “Service”) operated by Pundown (“Pundown,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Operator note: Pundown is currently operated as an unincorporated project. Upon formation of a legal entity, these Terms will be updated to identify that entity as the operator of the Service.
1. Eligibility and Age Requirement
You must be at least 16 years of age to use the Service. By creating an account or using the Service, you represent and certify that you are at least 16 years old and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts
To use certain features, you must create an account using a valid email address and a username. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. You must notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms.
3. The Service
Pundown is a daily word-game in which users submit original puns in response to a daily prompt and vote on submissions by other users. Submissions are scored and ranked, and may be displayed publicly within the Service, including on leaderboards alongside your username and region. We may change, suspend, or discontinue any aspect of the Service at any time.
4. User Content and License Grant
“User Content” means any puns, text, or other content you submit to the Service. You retain ownership of any intellectual property rights you hold in your User Content. However, by submitting User Content, you grant Pundown a worldwide, royalty-free, fully paid-up, perpetual, irrevocable, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, create derivative works from, publish, publicly display, publicly perform, distribute, and otherwise exploit your User Content in any media or format, whether now known or later developed, for any purpose, including the operation, promotion, and commercialization of the Service.
This license continues even if you stop using the Service or delete your account, with respect to User Content you submitted prior to deletion. You waive, to the extent permitted by applicable law, any moral rights or similar rights you may have in your User Content in connection with the uses licensed above.
You represent and warrant that: (a) you own or otherwise have all rights necessary to grant the license above; (b) your User Content is original to you; and (c) your User Content does not infringe or violate the rights of any third party or any law.
5. Acceptable Use
You agree not to:
- Submit content that is unlawful, infringing, defamatory, obscene, hateful, harassing, or otherwise objectionable;
- Submit content that is not your own original work or that violates any third party’s intellectual property or other rights;
- Manipulate voting, scoring, or rankings, including through multiple accounts, bots, or other deceptive means;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Use the Service to collect or harvest information about other users; or
- Use the Service for any unlawful purpose or in violation of these Terms.
We reserve the right, but are not obligated, to review, moderate, remove, or refuse any User Content at our discretion, and to suspend or terminate accounts that violate these Terms.
6. Intellectual Property
The Service, including its design, text, graphics, logos, software, and all other materials (excluding User Content), is owned by Pundown or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Service without our prior written consent.
7. Feedback
If you provide us with suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free right to use that feedback for any purpose without obligation or compensation to you.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Service and delete your account at any time. Sections of these Terms that by their nature should survive termination (including the license grant in Section 4, and Sections 6, 9, 10, 11, and 12) will survive.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUNDOWN AND ITS OPERATORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Pundown and its operators, affiliates, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction in those courts. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
13. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
14. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pundown regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our consent; we may assign them freely, including to a legal entity formed to operate the Service.
